EDMONTON (Alberta), Sept. 20, 2024 – PRESS RELEASE Aurora Cannabis Inc. announced that CEO Miguel Martin was appointed to the role of executive chairman, and Ron Funk, the outgoing chairman, as the lead independent director. Both appointments are the result of unanimous votes by Aurora’s board, and they take effect immediately.

Martin has been CEO and a Director of the company since September 2021 and will continue as CEO. Martin has led the organization through significant change, including the financial recovery of the company and its successful business transformation. He has done this while maintaining focus and integrity, and acting in the best interest of Aurora’s investors. Aurora has overcome many of the challenges faced by the cannabis industry.

The two have worked closely and under the mentorship Funk, who has served as chairman of board of directors since the year 2021. They are well positioned to continue cultivating strong, unified board leadership, and governance, as the company enters the next stage of meaningful growth.

The board believes that combining CEO and Chairman roles will promote strong leadership, direction clarity, and efficient and effective decision-making, all of which will better position Aurora to achieve its vision for global leadership.

Martin’s expanded role as executive chair will see him set the board agenda. He will use his knowledge and understanding of Aurora’s operations and business to identify strategic opportunities for the board and risk mitigation strategies.

As lead independent director Funk will continue to focus on ensuring the board functions independently and effectively of the management of company and that it continues to provide independent leadership for the board.

The company is also pleased with the changes made to its board committee.

• Michael Singer, who was previously executive chairman and interim chief executive officer, is now considered independent in the sense of National Instrument 52110. Audit CommitteesSince he resigned as executive chairman in May 2021, it has been over three years. Singer was appointed to both the HRCC and the Audit Committee, bringing his expertise to each committee. Singer and Audit Committee Chairman Chitwant Kooli are both considered “audit Committee Financial Experts” under the SEC rules.
• Rajesh Uttamchandani was appointed to the HRCC, and the Nominating & Corporate Governance Committee. He brings his experience in human resources, strategy, governance, and innovation. This will complement the strength of these committees.
