About the Role:

The General Counsel is the company’s chief legal officer and strategic advisor, responsible for leading the legal function across a complex, multistate footprint that includes manufacturing facilities and retail operations. In addition, the General Counsel provides executive oversight of the Human Resources and Compliance functions, ensuring enterprise-wide alignment with regulatory requirements, risk tolerance, and company values. This leader will drive legal strategy, ensure compliance, oversee transactions (including M&A), manage labor relations in union and non-union environments, and support Board governance. The GC partners closely with HR, Finance, Operations, and the Executive team to enable growth, mitigate risk, and uphold our values.

How you’ll make a difference:

  • Legal Strategy & Leadership

o Provide executive oversight and strategic direction for the Human Resources and Compliance functions, ensuring alignment with enterprise objectives, risk tolerance, culture, and regulatory obligations.

o Serve as a key advisor to the President and executive team on people-related risk, workforce strategy, ethics, and compliance matters, including escalation and resolution of sensitive or high-risk issues.

o Establish governance structures, decision frameworks, and reporting cadence for HR and Compliance to ensure consistent enterprise standards, accountability, and transparency.

o Build and execute the enterprise legal strategy aligned to company objectives, risk appetite, and regulatory obligations across multiple states.

o Lead, coach, and develop a high-performing legal team; optimize the operating model (in-house vs. outside counsel, vendor management, panel counsel strategy).

o Establish legal policies, playbooks, and standardized templates for contracts, NDAs, commercial agreements, and vendor/supplier agreements.

  • Corporate Governance & Board Support

o Advise the Board of Directors and executive leadership on governance best practices, fiduciary duties, and corporate structures.

o Manage Board and committee agendas, minutes, resolutions, charters, and director onboarding.

o Oversee subsidiary management, corporate records, and annual filings; ensure compliance with state-specific corporate requirements.

o Oversee Board-level reporting related to workforce matters, ethics, culture, and compliance, including material investigations, regulatory issues, and people-risk trends.

o Support Compensation, Audit, and/or Compliance Committee oversight related to executive compensation governance, incentive design risk, workforce compliance, ethics, and whistleblower matters.

  • Mergers & Acquisitions (M&A)

o Lead legal workstreams for acquisitions, divestitures, joint ventures, and strategic partnerships, including due diligence, structuring, negotiation, and integration.

o Coordinate cross-functional diligence (HR, finance, tax, IT/cybersecurity, environmental, real estate), ensuring rigorous risk analysis and integration planning.

o Oversee post-close obligations (indemnities, disclosure schedules, earn-outs, reps & warranties insurance, transition services agreements).

  • Labor Relations & Employment Law

o Provide executive oversight of the Human Resources function, ensuring compliant, scalable, and consistent people practices across all jurisdictions.

o Oversee employee relations strategy, including investigations, disciplinary actions, performance management frameworks, and resolution of high-risk or sensitive matters.

o Ensure enterprise-wide alignment between HR policies, labor strategy, and legal risk management, particularly in unionized environments and multi-state operations.

o Advise on executive employment matters, including contracts, severance, equity, restrictive covenants, and succession planning.

  • Compliance, Regulatory & Risk Management

o Own executive oversight of the enterprise Compliance program, including ethics, code of conduct, OSHA/safety, training, monitoring, and enforcement, product compliance, environmental, consumer protection, data privacy, anti-bribery/anti-corruption, and retail-specific regulations.

o Oversee incident response, whistleblower programs, hotline management, and internal investigations.

o Ensure Compliance is appropriately resourced, independent, and empowered, with clear escalation pathways to executive leadership and the Board.

o Establish contract risk standards (indemnities, liability caps, warranties, IP, confidentiality, data security addenda).

o Ensure full compliance with federal, state, and local cannabis laws, including licensing, permitting, zoning, health/safety, and product testing requirements.

o Monitor ongoing legal/regulatory changes—e.g., amendments in cannabis laws, FDA/DEA updates, or new state regulatory schemes—and properly integrate them into operation.

o Integrate HR, Compliance, and Legal risk assessments into a cohesive enterprise risk management (ERM) approach.

o Oversee culture-of-compliance initiatives, including tone at the top, training effectiveness, and remediation of control gaps.

  • Commercial, Supply Chain & Real Estate

o Negotiate and oversee supply, logistics, distribution, and manufacturing agreements; manage commercial disputes and remedies.

o Support retail operations (customer terms, promotions, gift cards, returns, advertising, MAP/antitrust considerations).

o Manage real estate portfolio (leases, build-outs, easements, permits, zoning, title).

  • Litigation & Claims

o Manage litigation strategy and budgets; supervise outside counsel; drive early resolution approaches and ADR.

o Oversee product liability, employment litigation, commercial disputes, premises liability, and insurance recoveries.

o Oversee high-risk employment, whistleblower, and retaliation claims, including matters arising from HR investigations or compliance reporting.

o Ensure learnings from litigation, investigations, and claims are translated into policy, training, and process improvements across HR and Compliance.

  • Financial Stewardship

o Provide budgetary oversight and strategic prioritization for Legal, HR, and Compliance functions, ensuring efficient resource allocation and risk-based investment.

o Evaluate and oversee appropriate insurance coverage including but not limited to D&O, EPLI, cyber, product liability, and general liability, as applicable.

o Execute job duties across all Canopy USA subsidiaries and affiliated companies, ensuring consistent standards, communication, and operational alignment throughout the enterprise.

Supervisory Responsibility:

  • This position has direct report(s) and supervisory responsibility in the Legal department. This employee has the authority to hire and fire other employees, or this employee’s suggestions and recommendations as to the hiring, firing, advancement, promotion, or any other change of status of other employees are given particular weight.

Skills to be Successful:

Minimum Education & Experience:

  • 12+ years of progressive legal experience including:

o M&A execution and post-merger integration

o Labor relations (union environments) and employment law across multiple states

o Corporate governance and Board advisory

o Commercial contracting and risk allocation

  • 7+ years in a leadership role managing attorneys and legal professionals.
  • Experience with manufacturing and/or retail operations (plant, distribution, and storefront dynamics).
  • Prior General Counsel or Deputy/Associate GC experience within CPG preferred, preferably within the cannabis industry.
  • Experience with regulatory areas and agencies such as OSHA, environmental, licensing agencies, consumer protection, data privacy, etc. preferred.
  • Background in product liability and insurance program management preferred.

Minimum Knowledge, Skills & Abilities:

  • Active license to practice law; ability to obtain in-house counsel registration where applicable.
  • Familiarity with pay equity, wage & hour multi-jurisdictional requirements, and NLRB strategy preferred.
  • Strong business acumen and ability to translate legal risk into practical operational guidance preferred.
  • Ability to align legal priorities with growth and operational realities preferred.
